Terms and Conditions of the Caffe Aroma (Scotland) Ltd, Supply Agreement

Caffe Aroma (Scotland) Ltd Undertakes

1.0 Caffe Aroma (Scotland) Ltd undertakes to provide the Customer with the equipment and services as stated over the page, on a free on loan basis, subject to exclusivity on the sale of  snacks, confectionery and soft drinks to the stated address.  The equipment will remain the property of Caffe Aroma (Scotland) Ltd at all times.

 1.1 Caffe Aroma (Scotland) Ltd will deliver and install the equipment free of charge to the customers, clean and prepared site, provided that the customer (if appropriate) has provided a 13-amp electrical supply point within 1 metre of the machine location.

 1.2  Caffe Aroma (Scotland) Ltd will maintain and service the equipment in line with the manufacturer's recommendations and replenish the stock on a regular basis, so as to ensure out of stocks are kept to a minimum.

 1.3  Caffe Aroma (Scotland) Ltd agrees to assess and initiate the repair of faulty equipment within 24 hours of notification.

 The Customers Obligations

 2.0  To ensure that the equipment is looked after while in their possession and cleaned externally on a regular basis. They should also observe standards of hygiene, sanitisation and safety in relation to the equipment supplied by Caffe Aroma (Scotland) Ltd and applicable United Kingdom Statutes, Bylaws and Regulations.

 2.1           To indemnify Caffe Aroma (Scotland) Ltd (and insure with some reputable Insurance Company) against loss/or damage to either the equipment (excluding wear and tear) or the Customers property whilst the equipment is on the Customers premises.

 2.2           To allow reasonable access within normal working hours for Caffe Aroma (Scotland) Ltd operatives or representatives for the purpose of inspecting, maintaining, servicing or removal of equipment.

 2.3           Not to remove or transfer the equipment from the installation address or attach notices or name plates to the equipment without the prior written consent of Caffe Aroma (Scotland) Ltd.

 2.4 Carry out an annual Electrical Safety Test in line with current United Kingdom Statute, Bylaws and Regulations and notify Caffe Aroma (Scotland) Ltd immediately in the case of any non compliance.

 Limitation of Liability

 3.0           If either party shall commit any breach of its obligations under this agreement and shall not remedy the same within thirty (30) days after notice in writing from the other party requiring it to do so, the other party shall without prejudice or any other rights which it may or shall be entitled to terminate this agreement forthwith by written notice to the party in breach.

 3.1           If Caffe Aroma (Scotland) Ltd shall be in breach of any of its obligations then its only liability shall be to make good (or if it shall fail to do so, bear the cost of making good) that breach.  Caffe Aroma (Scotland) Ltd shall not be liable for any other loss sustained by the customer, whether reasonably foreseeable or not and in particular (but without limitation) shall not be liable for any indirect or consequential loss.

 3.2 Caffe Aroma shall not be liable for any failure on its part to circumstances outside its control.

 Termination of Agreement

 4.0           Either party is free to terminate this contract within thirty (30) days notice in writing to the other party.  During the period of termination the machine in line with item 1.0 must be made available for the use of the customer's employees.
